Accredited Investor Criteria
Under SEC Regulation D, an accredited investor must meet at least one of the following criteria:
Annual income exceeding $200,000 (or $300,000 jointly with a spouse) in each of the two most recent years, with a reasonable expectation of the same income level in the current year.
Net worth exceeding $1,000,000, individually or jointly with a spouse, excluding the value of a primary residence.
A licensed professional holding a Series 7, Series 65, or Series 82 license in good standing.
A trust, entity, or organization with assets exceeding $5,000,000 not formed specifically to acquire the offered securities.
